Terms of Service

By accessing or using the Laytime platform ("Service") operated by Grain Bridge ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

Laytime is a web-based platform that assists with demurrage and despatch calculations by extracting data from uploaded charter party documents and statements of fact using artificial intelligence. The Service produces laytime ledgers and reports based on that extracted data.

The Service is intended for business use by professionals in the shipping and commodity trading industries. By using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization.

You may need to create an account to use certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

Paid plans are billed on a monthly or annual basis as described on our pricing page. Invoices are issued by the Company and payable by bank transfer within the specified payment terms. We reserve the right to suspend access for overdue accounts after reasonable notice.

We may change pricing with at least 30 days' written notice before the start of your next billing cycle. Continued use after a price change constitutes acceptance of the new price.

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious files, viruses, or attempt to compromise system security
• Reverse-engineer, decompile, or attempt to extract the source code of the platform
• Resell or redistribute the Service without written authorization
• Interfere with the Service's operation or other users' access
• Submit documents you are not authorized to process

The Service, including its algorithms, calculation engine, extraction models, user interface, and documentation, is the proprietary property of Grain Bridge and is protected by intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to you.

You retain all rights to the documents you upload and the data contained within them.

The calculations and reports produced by the Service are provided as informational tools to assist with demurrage and despatch computations. They do not constitute legal, financial, or professional advice. You are solely responsible for verifying all outputs and making independent decisions based on your own professional judgment.

While we strive for accuracy, AI-assisted extraction may produce errors. Always review extracted data before relying on calculation results.

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless the Company and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

Either party may terminate these Terms at any time. You may stop using the Service and request account deletion. We may suspend or terminate your access for material breach of these Terms, with reasonable notice where practicable.

Upon termination, your right to access the Service ceases. We will retain your data for a reasonable period to allow export, after which it will be deleted in accordance with our Privacy Policy.

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the Service at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the jurisdiction in which the Company is incorporated, without regard to conflict of law provisions. Any disputes shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the courts of that jurisdiction.
